TerminalStreet Terms of Service

Last updated: July 9, 2026

Scope of this document: This document governs the terminalstreet.com website and TerminalStreet's business (B2B) services only. TerminalStreet LLC also builds, hosts, owns, operates, and/or is credited on separate products, applications, and websites — including consumer applications and platforms operated by separate legal entities. Each such product is governed exclusively by its own legal terms published at its own domain. The policies on this site do not apply to users of those products except where a product document expressly incorporates them by name, and in any conflict the product document controls for that product. See Products & Scope.

These terms and conditions govern your use of TerminalStreet's services, unless you have an active executed order. Welcome to TerminalStreet! We're glad you're here.

This website, www.terminalstreet.com (the "site"), is owned and operated by TerminalStreet LLC. ("TerminalStreet", "we" or "us"). By using the site, services, and our proprietary software and related data we make available to you via the site, or content we make available to you through the services (all the foregoing collectively, "Services"), you agree to be bound by the following Terms of Service, as updated from time to time (collectively, the "Terms"). Please read them carefully. If you don't agree to these Terms, you may not use the Services.

Signing Up

  • In order to use most Services, you must register for or authenticate into a TerminalStreet account. When you use our application program interfaces (APIs), each request to an API must include one of your account's unique API keys.
  • Please carefully guard the security of your account and monitor use of your API keys. You are responsible for all use of the Services under your account, whether or not authorized, including any use of your API keys.
  • You must be 18 years or older to use the Services. By registering as a user or providing personal information on the site, you represent that you are at least 18 years old.
  • If you are entering into this agreement on behalf of your company or another legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" will mean the entity you represent.

Our Services

  • Subject to these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license and right to access and use the Services for your internal business purposes or personal use, as applicable.
  • We offer various services including but not limited to custom software development, AI and data science solutions, decentralized applications, fintech solutions, and web and mobile application development.
  • If you're using our services for business intelligence, analytics, or other enterprise purposes, you may need to purchase a separate commercial license under an active order before accessing or using Services for production use.
  • We may choose to make available to you products and services that are in beta, being provided for internal evaluation or trial, or otherwise not generally available ("Evaluation Products"). By accessing such Evaluation Products, you agree to only use them for internal evaluation or testing purposes.

End Users and Notification

  • You may not allow your End Users or other third parties to use the Services in any way that would be a violation of these Terms if done by you, and you agree to take reasonable efforts to prevent such use.
  • You agree to promptly notify TerminalStreet in writing if you become aware of any misappropriation or unauthorized use of the Services.

Service Terms & Policies

  • You will comply with these Terms, our Data Processing Addendum (for data processed by TerminalStreet as a processor) and Privacy Policy (for data otherwise processed by TerminalStreet), which govern access and/or use of the Services.
  • In addition to the requirements above, you agree to adhere to the policies posted on this site in conjunction with the Services, including accompanying documentation.
  • All terms and policies referred to above are incorporated by reference into these Terms.

Charges and Payment

  • You agree to pay all fees owed for your use of the Services, as calculated by our records and based on our publicly available pricing, currently located at www.terminalstreet.com/pricing, or as specified in a separate agreement with us.
  • All charges are non-refundable unless expressly prohibited by applicable law. We or a third party acting on our behalf may invoice and charge you on a recurring basis for any amounts that you owe us, some of which may require advance payments.
  • Late payments may bear interest at the rate of 1.5% per month (or the highest rate permitted by law, if less) from the payment due date until paid in full. You will be responsible for all reasonable expenses (including attorneys' fees) incurred by us in collecting such delinquent amounts.
  • Our listed fees do not include taxes, and you agree to pay all sales/use, gross receipts, value-added, GST, personal property or other tax (including any interest and penalties) with respect to the transactions and payments under these Terms, other than taxes based on our net income, employees or real property.

You warrant, represent, and agree that you have the right to grant TerminalStreet these rights.

  • Other than Your Content, all content displayed on the site or accessible through the Services, including text, images, software or source code, are the property of TerminalStreet and/or third parties and are protected by United States and international intellectual property laws.
  • Logos and product names appearing on or in connection with the Services are proprietary to TerminalStreet or our licensors. You may not remove any proprietary notices or product identification labels from the Services.

  • You agree that we may freely exploit and make available any and all feedback, suggestions, ideas, enhancement requests, recommendations or other information you provide to us relating to the Services.

Publicity

We're proud to have you as a customer. During the term of this agreement, you hereby grant us a worldwide, non-exclusive, royalty-free, fully paid-up, transferable and sublicensable license to use your trademarks, service marks, and logos for the purpose of identifying you as a TerminalStreet customer to promote and market our services. But if you prefer we not use your logo or name in a particular way, just let us know, and we will respect that.

Account Cancellation or Suspension

  • If you breach any of these Terms, the limited license granted to you hereunder automatically terminates without notice to you and we may immediately without notice cancel or suspend your account.
  • In addition, TerminalStreet may cancel or suspend your account for any reason by providing you 30 days' advance notice.
  • Upon any termination of the limited license, you agree to immediately destroy any materials or other data or content provided by, downloaded from, or otherwise accessed through the Services.
  • Upon cancellation or suspension, your right to use the Services will stop immediately. You may not have access to data that you stored on the site after we cancel or suspend your account. You are responsible for backing up data that you use with the Services.

Intellectual Property Rights

TerminalStreet and its licensors retain all right, title, and interest in and to the Services, including all intellectual property rights related thereto. Nothing in these Terms will be deemed to grant you any right, title, or interest in or to the Services except the limited license expressly set forth herein.

You acknowledge that the Services, including all associated intellectual property rights, are the exclusive property of TerminalStreet and its licensors. You agree not to copy, modify, create derivative works, publicly display, publicly perform, republish, download, store, transmit, sell, or distribute any portion of the Services without our prior written consent, except as expressly permitted in these Terms.

The TerminalStreet name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of TerminalStreet or its affiliates or licensors. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TERMINALSTREET, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

SPECIFICALLY, TERMINALSTREET WILL NOT BE LIABLE FOR:

  • LOSS OF PROFITS, SALES, BUSINESS, OR REVENUE;
  • BUSINESS INTERRUPTION;
  • LOSS OF ANTICIPATED SAVINGS;
  • LOSS OF BUSINESS OPPORTUNITY, GOODWILL, OR REPUTATION;
  • LOSS OF, DAMAGE TO, OR CORRUPTION OF DATA OR SOFTWARE;
  • ANY INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.

NOTWITHSTANDING THE FOREGOING, IN NO EVENT SHALL TERMINALSTREET'S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO TERMINALSTREET DURING THE SIX (6) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO OUR LIABILITY, OR (B) $100 USD.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless TerminalStreet, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES YOU TO ARBITRATE CERTAIN DISPUTES AND CLAIMS WITH TERMINALSTREET AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM US.

Arbitration Agreement

You and TerminalStreet agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Services (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

The arbitration will be conducted by JAMS under its applicable rules in effect at the time the arbitration is initiated, except as modified by these Terms. The arbitration will be conducted in Wyoming, unless you and TerminalStreet agree to conduct the arbitration via video conference or by telephone. The arbitrator will have exclusive authority to resolve all disputes, including the interpretation, applicability, validity, or enforceability of this arbitration agreement.

Class Action Waiver

YOU AND TERMINALSTREET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and TerminalStreet agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Opt-Out Right

YOU HAVE THE RIGHT TO OPT OUT OF THIS ARBITRATION AGREEMENT WITHIN 30 DAYS OF THE DATE YOU FIRST AGREE TO THESE TERMS (the "Opt-Out Deadline"). To opt out, you must send an email to [email protected] with the subject "Arbitration Opt-Out" and include your name and a statement that you opt out of this arbitration provision. If you do not opt out by the Opt-Out Deadline, you and TerminalStreet will be bound by this arbitration provision.

Disclaimers

THE SERVICES AND ALL CONTENT AND INFORMATION PROVIDED IN CONNECTION WITH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TERMINALSTREET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TerminalStreet does not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services or the servers that make the Services available are free of viruses or other harmful components.

Digital Millennium Copyright Act Compliance

If you believe that material available on our site infringes on your copyright, please notify us by sending an email to [email protected]. Your notice should include the following information:

  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest.
  • A description of the copyrighted work that you claim has been infringed.
  • A description of where the material that you claim is infringing is located on our site.
  • Your address, telephone number, and email address.
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Force Majeure

TerminalStreet shall not be liable for any failure or delay in performance of its obligations under these Terms when such failure or delay is due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God: Natural disasters, earthquakes, floods, hurricanes, tornadoes, fires, or other natural phenomena
  • Public Health Emergencies: Epidemics, pandemics, quarantine restrictions, or public health orders
  • Government Actions: Laws, regulations, sanctions, trade restrictions, government orders, or actions by regulatory authorities
  • Infrastructure Failures: Internet outages, power failures, telecommunications disruptions, or data center failures
  • Cyber Security Events: Cyber attacks, distributed denial-of-service attacks, network intrusions, or security breaches affecting our systems or third-party providers
  • Labor Disputes: Strikes, lockouts, labor disputes, or shortage of qualified personnel
  • Supply Chain Disruptions: Inability to obtain necessary hardware, software, or services from third-party providers
  • War and Conflict: War, terrorism, civil unrest, or other acts of violence

During force majeure events:

  • Our obligations under these Terms are suspended but not terminated
  • We will make reasonable efforts to minimize the impact and duration of service disruptions
  • We will provide timely notifications to affected users about the nature and expected duration of disruptions
  • Service credits may be provided for extended outages exceeding 72 hours, as outlined in our Service Level Agreement
  • If a force majeure event continues for more than 90 days, either party may terminate the affected services with 30 days' written notice

This force majeure provision does not excuse payment obligations for services already provided or extend any specific deadlines that are critical to your business operations beyond reasonable accommodation.

Additional Terms

  • Governing Law and Jurisdiction: These Terms and any disputes arising under them will be governed by the laws of the State of Wyoming, without regard to choice of law principles. The parties agree to submit to the exclusive jurisdiction of the courts in Wyoming, or federal courts sitting in Wyoming.
  • Dispute Resolution: Before pursuing formal legal action, the parties agree to attempt resolution through the following escalation process: (1) Direct contact resolution within 5 business days; (2) Management review within 10 business days; (3) Mediation through an independent mediator if requested by either party; (4) Binding arbitration administered by JAMS as set out in the "Dispute Resolution and Arbitration" section above, which applies without any dollar-value threshold.
  • Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice or consent.
  • Entire Agreement: These Terms, including our Privacy Policy, constitutes the entire agreement between you and TerminalStreet regarding the Services and supersedes all prior agreements and understandings.

Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. If a revision is material, we will notify you via email or through the Services. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised terms.
